Out with the Old. In with the Nu. – Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

1) PROMOTION DESCRIPTION:

The “Out with the Old. In with the Nu.” Contest begins on February 1, 2021, 12:01 AM CST and ends on July 31, 2021, at midnight CDT.

The sponsor of this Contest is NuAire Incorporated ("Sponsor"). By participating in the Contest, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. Sponsor is responsible for the collection, submission or processing of Entries and the overall administration of the Contest. Entrants should look solely to Sponsor with any questions, comments or problems related to the Contest. Sponsor may be reached by email at john.peters@nuaire.com during the Promotion Period.

2) ELIGIBILITY:

Open to legal residents of the United States and Canada who are at least 18 Years of Age. Sponsor, and their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors, and employees, are ineligible to enter the Contest or win a prize. Household Members and Immediate Family Members of such individuals are also not eligible to enter or win. "Household Members" shall mean those people who share the same residence at least three months a year. "Immediate Family Members" shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. This Contest is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted by law.

3) PRIZES:

Only one prize per person and household will be awarded. Prizes cannot be transferred, redeemed for cash or substituted by winner. Sponsor reserves the right in its sole and absolute discretion to award a substitute prize of equal or higher value if a prize described in these Official Rules is unavailable or cannot be awarded, in whole or in part, for any reason. The Actual Retail Value (ARV) of the prize represents Sponsor's proper faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prize turns out to be less than the stated ARV, the difference will not be awarded in cash. Sponsor makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply. Sponsor will not replace any lost or stolen prize items.

This Contest is open to legal residents of the United States, and Canada and Prize will only be awarded and/or delivered to addresses within said locations. All federal, state and/or local taxes, fees, and surcharges are the sole responsibility of the prize winner.

GRAND PRIZE: The winner will receive One (1) model NU-5810 with NU-1582 Castered Platform (ARV up to $ 7,500.00) with decontamination and removal of old unit (ARV up to $1,000.00), shipping (ARV up to $500.00), and installation and calibration (ARV up to $500.00).  Total AVR of grand prize up to $12,630.

Decontamination and Removal – Decontamination and removal services will be paid for by the Sponsor and performed by a NuAire authorized third-party service.

Shipping – Dock to dock freight will be paid for by the Sponsor and performed by a NuAire authorized third-party service. Verification of the shipping site is needed before any product leaves NuAire.

Installation and Calibration – In-lab delivery and installation paid for by the Sponsor and performed by a NuAire authorized third-party service.

Lead time and order – The Sponsor will work with the Grand Prize Winner to provide necessary documentation and information to appropriate personnel to initiate the order.

GRAND PRIZE SELECTION: The winner will be selected by a blind random drawing one week after the contest closes on August 6, 2021.

GRAND PRIZE UPGRADE:  If replacing a unit that features advanced control parameters such as Humidity or Oxygen Control, or if the winner is replacing a Water Jacket CO2 incubator, the winner may pay the difference between model NU-5810 and the advanced model to upgrade the product.

MONTHLY DRAWINGS PRIZES: At the end of each month a drawing will take place to win one of the following items detailed below. Winners will be notified via email to confirm the delivery of the item.

• UnderArmour Backpack (ARV $54.99 USD )
• Cambelbak 20oz. Water Bottle (ARV $30.00 USD )
• E-Gift Card from Tango Card for redemption at a variety of vendors. (ARV $100.00 USD)

MONTHLY DRAWINGS: Winners will be selected in a random drawing at the end of each month during the active contest period. Winners will be notified via email. Odds of winning depend on the total number of submissions. All drawings will be made on a random basis.

ENTRY PRIZE: NU-1582 CO2 Incubator Platform (ARV $500.00)

ENTRY PRIZE WINNER SELECTION: The entrant is offered item NU-1582 CO2 Incubator Platform (ARV $500.00) free of charge ($0) on their next NuAire CO2 Incubator purchase for entering the contest. Multiple submissions from one email address will be considered one entry. The entrant is offered item NU-1582 CO2 Incubator Platform at $0 on their next NuAire CO2 Incubator order. The entrant must be associated with the quote or order for the price to take effect. Offer is value for one year after the contest close 7/30/2022.

4) WINNER NOTIFICATION:

Winners will be notified by email at the email address provided in the Entry Information approximately one week after submission, the end of the month, or contest period end. Winner must accept a prize by email as directed by Sponsor within one month of notification. Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated in addition to that, or Winner’s failure to adequately monitor any email account.

Any winner notification not responded to or returned as undeliverable may result in prize forfeiture. The potential prize winner may be required to sign and return an affidavit of eligibility and release of liability, and a Publicity. No substitution or transfer of a prize is permitted except by Sponsor.

5) HOW TO ENTER:

Enter the Contest during the Promotion Period online by visiting the entry form, which can be found on the following website at https://www.nuaire.com/co2.

Automated or robotic Entries submitted by individuals or organizations will be disqualified. Internet entry must be made by the Entrant. Any attempt by Entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/Contest subscription notification and/or entering services, will void Entrant's Entries and that Entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth below. All Entries must be posted by the end of the Promotion Period in order to participate. The sponsor's database clock will be the official timekeeper for this Contest.

6) PRIVACY:

Any personal information supplied by you will be subject to the privacy policy of the Sponsor-posted at https://www.nuaire.com/privacy-policy. By entering the Contest, you grant Sponsor permission to share your email address and any other personally identifiable information with the other Contest Entities for administration and prize fulfillment, including use in a publicly available Winners list.

7) LIMITATION OF LIABILITY:

Sponsor assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Contest; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Contest; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service; or (f) any injury or damage to participant's or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Contest or download of any materials in the Contest.

If, for any reason, the Contest is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest in whole or in part. In such event, Sponsor shall immediately suspend all drawings and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total ARV as outlined in these Official Rules) in a manner deemed fair and equitable by Sponsor. Sponsor and Released Parties shall not have any further liability to any participant in connection with the Contest.

8) SUBMISSION OF PHOTO, TEXT OR OTHER CONTENT FOR CONTEST:

Entries selected for display and to win contest requiring photo, text or other content from the entrants will be judged entirely at the discretion of NuAire.

By submitting any photo or information to NuAire, you hereby grant to NuAire and its affiliates, subsidiaries, licensees and assigns, an irrevocable, perpetual and royalty-free right to use, reproduce, edit, display, transmit, prepare derivative works of, modify, publish and otherwise make use of the submitted photo or other information in any and all media, whether now known or hereinafter created, throughout the world and for any purpose. In addition to other things, the rights granted to NuAire includes but is not limited to the right to resize, crop, censor, compress, edit, feature, caption, affix logos to, and to otherwise alter or make use of the submitted photo. By submitting any photo or information to NuAire, you hereby represent and warrant that the submitted photo or information does not and shall not infringe on any copyright, any rights of privacy or publicity of any person, or any other right of any third party, and you have the right to grant any and all rights and licenses granted to NuAire herein, including but not limited to all necessary rights under copyright, free and clear of any claims or encumbrances.

You acknowledge and agree that NuAire shall have no obligation to post, display or otherwise make publicly available any photo or information submitted by you, and may, in its sole and unfettered discretion, remove, edit, modify or delete any photo or information that you submit to NuAire.

You understand and intend that any photo or information submitted by you to NuAire may be available for viewing, rating, review and comment on by the public, and understand that comments or ratings with which you disagree or are unhappy about may be published or otherwise become associated with any photo or information you submit to NuAire. By submitting any photo or information to NuAire, you at this moment waive any privacy expectations that you may have concerning any such photo or information submitted by you to NuAire.

You hereby agree to hold NuAire and its affiliates, subsidiaries, licensees sponsors and assigns harmless from and against, and hereby waive any right to pursue, any claims of any nature arising in connection with the inclusion in, publication via or display on any NuAire site, or any other use authorized under these Terms, of any photo or information submitted to NuAire by you.

Photos or information submitted by you to the Site shall be the property of NuAire, and NuAire shall have no obligation to preserve, return or otherwise make available to you or others any photos or information so submitted.

9) WINNER LIST/OFFICIAL RULES:

To obtain a copy of the Winner List or a copy of these Official Rules, send your request along with a stamped, self-addressed envelope to NuAire, Inc. cc: Out with the Old. In with the NU. at 2100 Fernbrook Lane, Plymouth, MN 55447. Requests for the names of the winners must be received no later than one month after the Contest Period has ended. For accessing a Winner List online, visit https://www.nuaire.com/co2. The winner list will be posted after winner confirmation is complete.
